Fiat Industrial has formally requested a merger with CNH Global and asked that a committee be formed to study the idea. The proposal was http://www.cnh.com/Investor/FIProposalMay2012.pdf" rel="nofollow - set forth in a letter sent today by Sergio Marchionne , chairman of Fiat, to the board of directors of CNH.

Marchionne calls the existing corporate structure “cumbersome and value-restraining.” He suggests creating a “single class of liquid stock listed in New York with a secondary listing in Europe.” The move, he says, would give CNH the “ability to more effectively utilize the financial services and treasury operations of the broader group and achieve greater scale in key emerging markets.”

The merger would create a new holding company, and Fiat wants to complete a transaction by the end of 2012.

Fiat currently owns approximately 88 percent of CNH’s shares.

I was gonna say, since Fiat owns 88%, couldn't they just tell them what to do?

May as well i guess , Fiat is really owning some stuff here in the US ; why cant the CEO,s of these American outfits figure out what Fiat has many years ago ???

I read that a few days ago, seems like they are just simplifying things. Is it just the construction machinery business or for the entire outfit?

I am always concerned when it involves Fiat in the Construction/Farm Machinery arena. They did a Lousy job with the Allis/Fiat merger, and I'm not sure New Holland is a good example, either!!!!

Fiat only buys to eliminate competition, why can our lawmakers not see that and shut this kind of tactic down?

A good friend of mine who runs an aftermarket parts business here in San Diego knew the fellow who ran Fiat-Allis's North American operation for several years. Unfortunately, many corporate decisions pre-ordained the final outcome! The fact that I understand New Holland has dis-continued distributing crawlers and other construction equipment seems unfortunately similar to Fiat-Allis. I realize it is a different branch of Fiat, but I wonder what the long term impact for Chrysler will be........ Fiat was never very successful marketing automobiles in the North American market in years past, I hope they do better this time.......
